These Terms and Conditions of Use (“Terms”) govern your use of the Grace & Gratitude website, products, programs, classes, services, digital materials, communications, and other offerings.
Grace & Gratitude is operated by Michelle Kellogg in Knoxville, Tennessee and is referred to in these Terms as “Grace & Gratitude,” “Company,” “we,” “us,” or “our.”

By accessing our website, registering for or participating in an offering, purchasing a product or service, or otherwise using Grace & Gratitude materials, you agree to these Terms.
NATURE OF GRACE & GRATITUDE SERVICES
Grace & Gratitude provides faith-centered educational and wellness offerings that may include yoga and movement classes, breathing and relaxation practices, prayer, Scripture, gratitude practices, wellness education, digital resources, workshops, courses, coaching or strategy sessions, and related programs.
Our offerings are intended to provide education, encouragement, personal growth, wellness support, and practical tools.
Unless expressly stated otherwise in a separate written agreement, Grace & Gratitude does not provide medical care, mental-health treatment, psychotherapy, psychological evaluation, diagnosis, legal advice, financial advice, or other licensed professional treatment through these offerings.
FAITH-BASED NATURE OF OFFERINGS
Grace & Gratitude is a Christian faith-centered business. Certain offerings intentionally incorporate Christian prayer, Scripture, reflection, gratitude practices, and references to Jesus Christ and the Christian faith.
Participants of all backgrounds are welcome unless an offering specifically states otherwise. By registering for a faith-centered offering, you acknowledge and understand that Christian spiritual content may be included.
Participation in any particular prayer, reflection, movement, or spiritual practice is always voluntary.
HEALTH AND WELLNESS DISCLAIMER
Information and instruction provided by Grace & Gratitude are for educational and general wellness purposes and are not intended to diagnose, treat, cure, or prevent any disease, illness, injury, mental-health condition, or other medical condition.
Nothing provided through Grace & Gratitude should be interpreted as medical advice or as a substitute for care from an appropriately qualified healthcare professional.
You are responsible for determining whether participation is appropriate for you. YOGA, MOVEMENT, AND ASSUMPTION OF RISK
Yoga, stretching, exercise, breathing practices, relaxation practices, and other forms of physical activity involve inherent risks. These risks may include soreness, strains, sprains, falls, aggravation of an existing condition, and other injuries.
By choosing to participate in a Grace & Gratitude yoga, movement, or wellness offering, you acknowledge these inherent risks and voluntarily assume responsibility for your participation.
You agree to listen to your body, work within your individual abilities and limitations, use modifications when appropriate, and stop any activity that causes pain, dizziness, shortness of breath beyond what would reasonably be expected, or other concerning symptoms.
Instructions and modifications provided during a group or online class cannot account for every participant's individual medical history, physical condition, environment, or limitations.
For online classes, you are also responsible for creating a reasonably safe practice space free from obstacles and hazards and for using appropriate equipment.
To the fullest extent permitted by applicable law, you voluntarily assume the ordinary risks associated with participation in these activities.
PERSONAL RESPONSIBILITY
You remain responsible for your own decisions, actions, health, safety, and results.
Grace & Gratitude may provide education, suggestions, strategies, encouragement, or resources, but you are responsible for determining how and whether to use that information.
No particular physical, emotional, spiritual, educational, financial, relationship, parenting, health, or other outcome is promised or guaranteed.
Individual experiences and results will vary.
PARENT STRATEGY, EXECUTIVE FUNCTION, AND EDUCATIONAL SERVICES
Grace & Gratitude may provide parent strategy sessions, executive-function education, behavioral or organizational strategies, educational consultation, and related resources.
These services are educational and consultative in nature.
Unless expressly established through a separate written professional-services agreement, participation does not create a psychologist-client relationship, therapist-client relationship, or other clinical treatment relationship.
These services do not constitute psychological testing, psychological evaluation, diagnosis, psychotherapy, medical treatment, special-education eligibility determination, legal representation, or legal advice.
Parents and caregivers remain responsible for decisions regarding their children, including decisions concerning medical care, mental-health treatment, education, school services, accommodations, and other professional services.
If psychological, medical, educational, legal, or other individualized professional services are needed, participants should consult an appropriately qualified professional.
AGE AND MINORS
Unless otherwise specified for a particular offering, purchases and registrations must be made by an individual who is at least 18 years old or has reached the age of majority in their jurisdiction.
A minor may participate in an offering only when the offering permits participation by minors and appropriate permission from a parent or legal guardian has been obtained.
A parent or legal guardian who registers a minor represents that they have authority to consent to the minor's participation.
PURCHASES AND PAYMENT
Prices and payment terms will be displayed at the time of purchase.
By making a purchase, you authorize the applicable payment processor to charge the payment method you provide for the amount displayed at checkout.
Payments may be processed by third-party payment processors. Grace & Gratitude does not control the security or operation of those third-party systems and does not generally receive or store complete payment-card information.
We reserve the right to change prices for future purchases or offerings.
Any applicable taxes will be collected as required by law.
CANCELLATIONS, REFUNDS, AND RESCHEDULING
Because Grace & Gratitude offers live classes, appointments, digital materials, programs, and other services with different formats, cancellation and refund terms may vary by offering.
Any cancellation, refund, transfer, expiration, or rescheduling policy stated on the registration, checkout, booking, or sales page for a particular offering will apply to that purchase.
Unless otherwise stated in writing, completed services, attended classes, and digital products or materials that have already been delivered or accessed are non-refundable.
If Grace & Gratitude cancels a paid class, appointment, or program and does not provide a reasonable replacement or rescheduling option, the amount paid for the cancelled service may be refunded or credited.
Grace & Gratitude may make reasonable exceptions in its discretion for emergencies or unusual circumstances.
ONLINE CLASSES AND TECHNOLOGY
Some Grace & Gratitude offerings may be delivered through Zoom or other third-party technology platforms.
You are responsible for having appropriate internet access, equipment, software, and a safe environment from which to participate.
Although reasonable efforts will be made to provide reliable access, Grace & Gratitude cannot guarantee uninterrupted access or be responsible for technological failures outside our reasonable control, including internet outages, third-party platform failures, or participant equipment problems.
RECORDINGS, PHOTOGRAPHS, AND PARTICIPANT PRIVACY
Grace & Gratitude may record certain classes, workshops, or presentations when appropriate. When an offering is intended to be recorded in a way that may capture participant images, voices, names, or identifying information, reasonable notice will be provided.
Participants should not photograph, record, screen-record, reproduce, or distribute a Grace & Gratitude class, session, presentation, or another participant without authorization.
Grace & Gratitude will not intentionally use an identifiable participant's photograph, video, testimonial, personal story, or likeness for public promotional or marketing purposes without appropriate permission.
Participants should understand, however, that group classes, online gatherings, and community programs are not private clinical settings. Other participants may hear or see information voluntarily shared during those activities. Participants are therefore encouraged to use appropriate discretion when sharing personal information.
COMMUNICATIONS AND PERSONAL INFORMATION
Information submitted through our website, forms, email, registration pages, or other communications may be used as reasonably necessary to provide requested services, administer purchases and registrations, respond to inquiries, and communicate with you.
Our collection and use of personal information is further described in our Privacy Policy.
Email and ordinary electronic communications cannot be guaranteed to be completely secure. Please use reasonable discretion when sending sensitive information electronically.
INTELLECTUAL PROPERTY
Unless otherwise indicated, Grace & Gratitude owns or has permission to use the content and materials provided through its website and offerings, including written materials, class materials, worksheets, videos, recordings, graphics, photographs, logos, designs, program names, frameworks, and other original content.
Purchasing or receiving access to an offering does not transfer ownership of these materials to you.
Unless we provide written permission otherwise, materials are provided for your individual, personal use only.
You may not reproduce, copy, distribute, publish, sell, license, upload, share, teach from, modify for redistribution, or commercially exploit Grace & Gratitude materials without prior written permission.

PARTICIPANT CONDUCT
Grace & Gratitude is intended to be a respectful and supportive environment.
We reserve the right to remove or discontinue service to a participant who engages in threatening, harassing, discriminatory, abusive, intentionally disruptive, unlawful, or otherwise seriously inappropriate behavior toward Grace & Gratitude, its representatives, or other participants.
Nothing in these Terms prevents a customer or participant from providing truthful feedback, reviews, opinions, or criticism.
TESTIMONIALS AND REVIEWS
Grace & Gratitude may invite participants to provide reviews or testimonials.
Testimonials reflect the individual experiences of the people providing them and do not guarantee that another participant will experience the same results.
If we wish to use personally identifiable information, photographs, videos, or other identifiable material with a testimonial for promotional purposes, appropriate permission will be obtained.
THIRD-PARTY SERVICES AND LINKS
Our website or offerings may use or link to third-party services, websites, payment processors, scheduling systems, video-conferencing platforms, social-media platforms, or other resources.
Grace & Gratitude does not control these third parties and is not responsible for their content, privacy practices, availability, security, or actions.

Termination of access does not automatically create a right to a refund.

Before initiating formal legal proceedings, both parties are encouraged to make a good-faith effort to resolve disputes informally.
Subject to applicable law, disputes that cannot be resolved informally will be handled in an appropriate court having jurisdiction in Tennessee.
SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any additional written terms specifically presented for a particular product, class, program, or service, constitute the agreement governing your use or purchase of that offering.
If specific written terms for an individual offering conflict with these general Terms, the specific terms will control for that offering.
